We practice U.S. federal law in the representation and legal education of nonprofit organizations across the U.S. and internationally. We counsel 501(c)(3) charitable organizations and community funds, (c)(4) social welfare organizations, (c)(6) business leagues, (c)(7) labor and agricultural organizations, (c)(2) and (c)(25) titling holding entities, (c)(14) credit unions, private operating and non-operating foundations, and individual donors. Our areas of counsel include, but are not limited to, matters of entity organization, operations and structure, applications for tax-exemption, education on federal requirements for nonprofit entities, maintenance of tax-exempt status, reinstatement of auto-revoked nonprofits, requests for private letter rulings for proposed transactions, requests for appeals of revocation of tax-exempt status, and asset preservation planning. We also represent foreign nonprofits in obtaining U.S. equivalency in order to receive donations from U.S. private foundations, and assist U.S. private foundations with expenditure responsibility or equivalency determinations for foreign charitable donees.
We practice U.S. federal law in the representation of national and international individuals, entities, and entrepreneurs regarding intellectual property law. Our areas of counsel include, but are not limited to, patent searches, patent applications, trademark clearance searches, trademark applications, copyright applications, and Florida state law asset preservation planning.
Estate and Transfer Tax Planning and Probate
We practice in U.S. federal law with respect to gift, generation-skipping, and estate taxes, and Florida state law regarding trust, estate, business succession, and asset preservation planning, trust funding, counsel on homestead, probate, and business organization. We represent non-Florida residents (including non-U.S. citizens) with planning for their assets located in Florida, and gifts to U.S. residents and citizens.
